Consistent with its previously announced intention, on June 15, 2022, Pennsylvania Real Estate Investment Trust (the “Company”) filed with the Commonwealth of Pennsylvania an amendment to the Trust Deed (this amendment, the “Amendment to the Trust Deed”) effecting a reverse stock split of its common shares with a par value of $1.00 per share (the “Common Shares”) at a ratio of 1-for-15(the “Reverse Stock Split” and this ratio the “Reverse Stock Split Ratio”) effective June 16, 2022 (the “Effective Date”).

The reverse stock split reduces the number of common shares outstanding and authorized common shares in equal proportion. As a result, the authorized number of common shares as of the Effective Date was reduced from 200,000,000 common shares to 13,333,333 common shares. The reverse stock split also reduces the number of common shares subject to outstanding equity awards on the Effective Date by the reverse stock split ratio and increases the exercise price per common share under outstanding options by dividing that exercise price by the reverse stock split ratio.

A copy of the Amendment to the Trust Deed has been filed as Exhibit 3.1 and is incorporated herein by reference.

Effective as of the Effective Date, the new CUSIP identifier for the Common Stock will be 709102800.
